CONTENT LICENSING AGREEMENT

This binding contract is referred to as the “Agreement” or “Contract.” By submitting content to AITAdaily.com, operated by Ice & Snow Media, you agree to the following terms:

1. Content: “Content” refers to all forms of written material, including stories, posts, comments, personal experiences, and any other written submissions you provide to AITAdaily.

2. Ownership: By submitting Content, you affirm that you are the original author and owner of the rights to the written material. You have the authority to grant Ice & Snow Media the exclusive license to use your Content.

3. License Grant: You hereby grant Ice & Snow Media, d/b/a AITAdaily, a perpetual, royalty-free, exclusive, universe-wide license to use, distribute, modify, edit, and monetize the Content in any format, including but not limited to, publishing on the website, social media posts, and video content.

4. No Compensation: You acknowledge that you will not receive any monetary compensation or royalties for submitting Content. Ice & Snow Media reserves the right to monetize the Content without any obligation to compensate you.

5. Editorial Changes: Ice & Snow Media reserves the right to edit the Content for clarity, style, formatting, or length. You waive any moral rights to object to such changes.

6. Anonymity and Attribution: AITAdaily may choose to publish your story anonymously or under a username provided by you. You acknowledge that Ice & Snow Media may use the story without further attribution.

7. Waiver of Moral Rights: You waive any moral rights to the Content, including the right to claim harm to your reputation or to demand the removal or alteration of the Content after submission.

8. Third-Party Rights: You confirm that the Content does not infringe on the privacy, rights, or intellectual property of any third party. If the Content references other people, you have obtained their consent or anonymized their details to protect their identity.

9. Governing Law and Jurisdiction: This Agreement will be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement, including the use of AITAdaily.com, will be subject to the exclusive jurisdiction of the courts in Toronto, Ontario.

10. Entire Agreement: This Agreement constitutes the entire understanding between you and Ice & Snow Media with respect to the subject matter herein. It supersedes all prior agreements, communications, or discussions, whether written or oral, relating to the subject matter. Any amendments or modifications to this Agreement must be in writing and agreed to by both parties.

11. Severability: If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

12. Assignment: You may not assign or transfer this Agreement or any of your rights hereunder without the prior written consent of Ice & Snow Media. Ice & Snow Media may assign or transfer this Agreement without restriction, including to any affiliated entities or in connection with a merger, acquisition, or sale of assets.

13. Waiver: Any failure or delay by Ice & Snow Media to enforce any right or provision of this Agreement will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Ice & Snow Media.

14. Indemnification: You agree to indemnify, defend, and hold harmless Ice & Snow Media, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your Content submission.

15. Limitation of Liability: To the maximum extent permitted by applicable law, Ice & Snow Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your submission of Content or use of AITAdaily.com.

16. Consent to Agreement: By submitting Content to AITAdaily.com, you acknowledge and consent that your submission constitutes your agreement to the terms of this Content Licensing Agreement with Ice & Snow Media. Your submission is deemed to be your intent to be contractually bound by these terms.
